New Partnership Signals Strategic Expansion Amid Growing Rail Sector Demand

EQT is proud to announce that the EQT Infrastructure VI fund (“EQT”), in partnership with the senior management team of Eagle Railcar Services (“Eagle” or the “Company”), has entered into a definitive agreement to acquire Eagle from JM Texas Companies.

Founded in 2001 by Marc and Joe Walraven, Eagle Railcar Services has established itself as a premier provider of regulatorily mandated railcar inspection, repair, and maintenance services. Headquartered in Eastland, Texas, Eagle has expanded from a single site in Elkhart to a national network of 13 full-service facilities. These locations strategically support critical rail infrastructure across the United States, servicing railcars that carry both hazardous and non-hazardous materials.

Eagle employs approximately 1,500 skilled professionals and serves clients across key industrial verticals, including chemicals, agriculture, energy, and manufacturing. The company plays a vital role in ensuring the safe, efficient, and sustainable transport of goods, aligning with a national shift toward lower-emission, rail-based logistics.

The railcar maintenance market is experiencing rapid growth, bolstered by increasing industrial activity, tighter regulatory oversight, and a surge in demand for rail as a cost-effective and environmentally friendly transportation mode. EQT’s investment aims to strengthen Eagle’s market leadership and operational capabilities, with a focus on automation, digital transformation, and geographic expansion.

Neha Jatar, Managing Director within EQT’s Infrastructure Advisory Team, commented: “Eagle delivers mission-critical services that are integral to the functioning of the global supply chain. We are thrilled to partner with Marc and the team to support the continued evolution of this vital business.”

Marc Walraven, CEO of Eagle Railcar Services, shared his enthusiasm for the new partnership: “Joining forces with EQT marks an exciting new chapter. Their track record in infrastructure and transportation investment makes them an ideal partner as we continue to grow our network and elevate our service offerings for customers nationwide.”

The transaction is expected to close in Q2 2025, subject to customary approvals and closing conditions. EQT was advised by Paul, Weiss, Rifkind, Wharton & Garrison LLP.
